Exclusivity

Commission base

Gross receipts

Background IP
Content, trademarks, formats, characters, footage or other assets a party owned before the agency relationship.
Usage rights
Permission for a party or brand to use particular content, with defined media, territory, duration, edits and paid amplification.
Representations and warranties
Contractual statements that key facts are true—for example, authority to sign and ownership of supplied content.
Indemnity
A risk-allocation clause addressing specified losses or claims caused by one party's breach or conduct.

Commission event
Define whether commission is earned at signature, brand payment, creator payment or completed non-refundable delivery.
Calculation base
State whether it applies to cash collected before or after VAT/tax, platform fees, refunds and approved pass-through production.
Excluded money
List pre-existing deals, gifts, unrelated income, reimbursed expenses, platform rewards or territories outside scope where intended.
Collection
Name who invoices, holds client money, chases payment and bears bad debt; avoid informal personal-account routing.
Statements
Provide deal-level opening balance, gross receipts, deductions, commission, tax/withholding, adjustments and closing payable.

Creator ownership
State that the creator retains background content, persona, name, channels and IP unless a deliberate transfer says otherwise.
Agency work product

Operating license
Give the agency only the rights necessary to localize, publish, pitch, archive and report during the defined relationship.
Likeness license
Specify name, image, voice, biography, handle and approved claims; define purpose, duration, territory and withdrawal/exit.
